1. Acceptance of Terms
By accessing or using Opium ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not accept these terms, please do not use the Platform.
2. Platform Description
Opium is a digital marketplace that enables:
- Creators to sell digital products (LUTs, presets, sound effects, templates, and more)
- Buyers to discover and purchase creative resources
- Secure payment processing through our partner Stripe
3. Account Registration
To access certain features, you must create an account. By registering, you agree that:
- You are at least 18 years old
- The information you provide is accurate and up to date
- You are responsible for maintaining the confidentiality of your password
- You will not share your account with any other person
- You will notify us immediately of any unauthorized use of your account
4. Seller Subscriptions
4.1 Plans
To sell on Opium, you must subscribe to one of our seller plans (Starter, Creator, or Business). Each plan includes different upload limits, storage quotas, and features as described on the Pricing page.
4.2 Billing & Renewal
- Subscriptions are billed monthly or annually, depending on your chosen billing period
- Subscriptions renew automatically unless cancelled before the renewal date
- You can cancel your subscription at any time from your dashboard — access continues until the end of the paid period
- We reserve the right to update pricing with reasonable advance notice
5. Seller Rules
5.1 Product Requirements
- You must be the legitimate rights holder of everything you sell
- Products must not infringe any copyright, trademark, or intellectual property rights
- Product descriptions and previews must be honest and accurate
- A 20% commission is deducted from each sale before payout
5.2 Prohibited Content
- Illegal, offensive, or inappropriate content
- Malware, viruses, or any harmful software
- Counterfeit, pirated, or unauthorized reproductions
- Content that violates any third-party intellectual property rights
6. Buyer Rules
- Purchases grant you a personal, non-exclusive license to use the product — you do not acquire ownership
- You may not resell, redistribute, or sublicense purchased products unless explicitly permitted by the seller
- Purchases are generally non-refundable once the product has been downloaded
- License scope is defined by the seller and may vary per product
7. Payments & Commissions
- All payments are processed securely by Stripe
- Opium charges a 20% platform commission on each product sale
- Sellers receive the remaining 80% via Stripe Connect, minus any applicable Stripe processing fees
- Stripe's transaction fees are the seller's responsibility and are deducted at the Stripe level
- Payouts are subject to Stripe's standard payout schedule
8. Intellectual Property
The Opium platform, its design, code, and original content (excluding seller-uploaded products) are protected by copyright and other intellectual property laws. You may not copy, reproduce, or distribute our platform content without prior written authorization.
Sellers retain ownership of their intellectual property. By listing a product, you grant Opium a limited, non-exclusive license to display and promote the product on the platform.
9. Suspension & Termination
We reserve the right to suspend or permanently delete any account that violates these terms, engages in fraudulent activity, or causes harm to other users or the platform — with or without prior notice. Ongoing subscriptions will not be refunded in cases of termination due to violations.
10. Limitation of Liability
Opium operates as an intermediary marketplace. We are not responsible for the quality, accuracy, or legality of products sold by sellers, or for disputes between buyers and sellers. The platform is provided "as is" without warranty of any kind, express or implied.
11. Modifications to Terms
We may update these terms at any time. Changes will be posted on this page with a revised date. For significant changes, we will notify you by email. Your continued use of the platform after the changes take effect constitutes your acceptance of the updated terms.
12. Applicable Law
These terms are governed by Swiss law (Code of Obligations). In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If no agreement can be reached, the dispute will be submitted to the competent courts of Switzerland.
